Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Equora mobile application or visiting our website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to update these Terms at any time. We will notify you of material changes through the app or via email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years of age to use the Service. By using Equora, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Subscription Terms

Equora offers both free and premium subscription tiers:

Free Tier

Basic sleep tracking, limited sound library, and a daily wellness score summary.

Premium Subscription

Available in three billing cycles:

• Weekly: Billed every 7 days at the current listed price.
• Monthly: Billed every 30 days at the current listed price.
• Yearly: Billed annually at the current listed price (includes a discount compared to monthly billing).

Auto-Renewal

All premium subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the current period ends. You will be charged through your Apple App Store or Google Play account.

Cancellation

You may cancel your subscription at any time through your device's app store settings (Apple App Store or Google Play Store). Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Free Trials

If a free trial is offered, you will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the listed price.

4. Premium Features

Premium subscribers receive access to:

• Advanced sleep analysis with detailed sleep stage breakdowns.
• Full sound library with 200+ ambient soundscapes, binaural beats, and guided meditations.
• Personalized wellness insights powered by AI analysis.
• Smart alarm with optimal wake-up window detection.
• Unlimited wellness score history and trend analysis.
• Integration with Apple HealthKit and Google Fit.
• Priority customer support.

We reserve the right to modify premium features with reasonable notice.

5. Health Disclaimer

Equora is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or medical condition.

The sleep data, wellness scores, and health insights provided by Equora are for informational and educational purposes only. They should not be used as a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider with any questions about your health.

If you experience a medical emergency, call your local emergency number immediately. Do not rely on Equora for medical decisions.

6. User Content

You may submit content to the Service, such as mood journal entries, notes, and profile information ("User Content"). You retain ownership of your User Content and grant us a limited, non-exclusive license to store, process, and display it as necessary to provide the Service.

You are responsible for ensuring your User Content does not violate any laws or third-party rights.

7. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Use automated tools, bots, or scrapers to access the Service.
• Distribute malware or any harmful code through the Service.
• Impersonate any person or entity, or misrepresent your affiliation.
• Use the Service to collect or harvest personal data from other users.
• Resell, redistribute, or sublicense the Service without our written consent.

8. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, audio files, soundscapes, and software, are owned by Equora or its licensors and are protected by copyright, trademark, and other intellectual property laws.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Equora and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:

• Loss of data, revenue, or profits.
• Health decisions made based on information provided by the Service.
• Service interruptions or downtime.
• Unauthorized access to your account.

Our total liability to you for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Equora and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time through the app settings.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
